Responding to inquiries, American Access Technologies, Inc. (Nasdaq:AATK - news) confirms that it is in talks with another corporation in the telecommunications equipment industry with a view towards a corporate combination.
American Access President John Presley said: ``While we are enthusiastic about synergies that this potential combination promises, we must not forget that any such transaction presents numerous hurdles to its completion, such as due diligence, resolution of financial, management, shareholder approval and other issues. American Access manufactures patented zone cabling units that mount in ceilings, raised floors, and in custom furniture, routing traditional cabling and fiber optics to the office desktop. The Company's concept of ``zone cabling'' reduces costs for installation and moves, adds, and changes by as much as 70% while providing plug and play, up-gradable networks, fiber optics and wireless LAN.

AMERICAN ACCESS TECHNOLOGIES' NEW OPTICAL FIBER ZONE CABLING UNIT OK'D BY SHOOSHANIAN CLIENT
LAKE MARY, FL - Oct. 23, 2000
American Access Technologies, Inc. announced today that its new, high-speed optical fiber enclosure, designed for raised floors, has been approved for use in multiple data centers designed for its client by Shooshanian Engineering, Inc., Boston. The first order for 84 units is expected to become the standard for future projects, according to Sam Rosenthal, RCDD, LAN specialist for Shooshanian.
``I am very pleased with American Access's response to the needs of our clients and the ease with which its people addressed the redesign issues,'' Rosenthal said.
American Access's National Accounts Manager Wil Boyd said the relationship with Shooshanian emphasizes the importance of collaboration to give the end-user a solution tailored to individual needs in a vast and changing telecommunications industry.
``Shooshanian and American Access worked the old-fashioned way. We earned the order by looking at the end-user's needs during the design phase, putting it on the white board, developing CAD drawings, and working outside our typical box to come up with an answer that meets those needs,'' Boyd said.
Shooshanian Engineering is a nationally recognized mechanical and electrical engineering consulting firm specializing in study, design, and construction services of mechanical, electrical, plumbing, fire protection and communication technologies systems for commercial, industrial, institutional, and telecommunications (xSPs) facilities.
AMERICAN ACCESS TECHNOLOGIES' OMEGA SUBSIDIARY LANDS ARMY CONTRACT FOR CHEMICAL WARFARE ALARMS - NEW SPOT WELDER KEEPS JOBS IN-HOUSE
LAKE MARY, FL - Sept. 29, 2000
American Access Technologies, Inc. (Nasdaq:AATK) announced today that it has taken delivery on a 200 KVA aluminum spot welder to assist in production of its 6,000-unit order for specialized alarms that detect chemical warfare for the U.S. government.
Matthews Associates, Inc., the prime contractor for the government job, awarded the $138,000-plus manufacturing sub-contract to Omega Metals, American Access' wholly-owned manufacturing subsidiary. The spot welder will initially be used for this job, but others are anticipated.
"We elected to buy and pay cash for the spot welder, rather than sub out this work. This is consistent with our policy to do as much work as possible in-house," said John Presley, president of American Access.
"These alarms detect possible intrusion of chemical agents. The U.S. Army disperses them throughout battlefield conditions, and they have been and are being used in any number of skirmishes around the world," explained Herb Hugo, of Matthews and Associates.
To accommodate the growing demand for American Access zone cabling cabinets and for custom metal fabricating for the government and other major customers in the Southeast United States, Omega Metals recently doubled its factory capacity to 67,500 sq. ft.
AMERICAN ACCESS TECHNOLOGIES EXPANDS UNDER-FLOOR PRODUCT LINE
LAKE MARY, FL - Sept. 28, 2000
Responding to the increased demand for high speed, flexible, fiber optic networks, American Access Technologies, Inc. (Nasdaq:AATK) today unveiled its new under-floor cabinet for active zone cabling applications, allowing changes in office work stations to be made at a raised floor tile, in a matter of minutes.
"This evolution in our series of floor cabinets fills a major need in the industry and has opened up new opportunities for us in the data center market. The industry can now employ a fiber backbone in a raised floor environment, transmitting gigabit speeds to the work group," said American Access President John Presley.
Presley said the growing popularity of the Company's active ceiling unit prompted the development of the active under-floor unit, which is 12" deep. From passive enclosures, the technology has led to active ones in support of fiber backbone design used in the most progressive applications.

AMERICAN ACCESS TECHNOLOGIES PUBLISHES WHITE PAPER ON COST SAVINGS OF ZONE CABLING
LAKE MARY, FL - Sept. 15, 2000
American Access Technologies, Inc. (Nasdaq:AATK - news) today announces the publication of its commissioned engineering study comparing the cost of its zone cabling fiber optic or copper backbone design vs. traditional home run cabling, both of which are used for telecommunications infrastructure in office buildings.
``The growing need for faster Internet connections, clearer and longer range voice and data systems, and for bringing fiber optics deep into the building has prompted our customers and the industry to clamor for a comprehensive study. We have always known American Access' zone cabling solution saves time and money for IT people and real estate contractors. Now we can prove it,'' said American Access President John Presley.
White paper author Altug Consulting Engineers, with Adrian Zvarych, PE, spent six months researching industry data. The paper compares associated costs for cabling infrastructure in a typical three-story 131,000 sq. ft. office building in which 40 percent of 710 work stations were moved, added or changed (MAC) each year using a 15-year lifecycle. The MAC costs were $350 for traditional cabling per work station, and $125 for zone cabling, representing a 65% savings. The 15-year lifecycle savings with zone cabling infrastructure were more than $1 million. Initial costs to install traditional home run cabling were $575,260, compared to $443,300 for zone cabling.
The Company commissioned the white paper for $34,006. A survey of the industry, evaluation, and consultation with Altug and Zvarych confirmed the company's belief in its cost-saving approach to copper, fiber optic and Gigabit Ethernet-speed cabling.
``The consulting engineers went to great time and expense to show that from the initial installation savings of 22.9 percent for an average building, to the 65 percent savings associated with MACs, zone cabling is the obvious, cost-justified choice over home run cabling,'' Presley said.
The complete white paper can be found on the company's two websites, www.aatk.com and www.zonecabling.com.
American Access Technologies' proprietary products are specialty enclosures and related equipment that mount in ceilings, raised floors, and in open office-systems furniture. The Company's concept of zone cabling can reduce costs for new installations and moves, adds, and changes by up to 70% while providing greater versatility for copper and fiber optic voice and data cabling infrastructures.
AMERICAN ACCESS TECHNOLOGIES TAPS WILL BOYD AS MANAGER, VP OF NATIONAL ACCOUNTS
Lake Mary, FL - September 11, 2000
American Access Technologies, Inc. (Nasdaq: AATK) today named William M. Boyd vice president of National Accounts. Boyd, 41, most recently Datacom Manager for General Electric's (NYSE: GE) GE Supply, brings 10 years of experience in cable distribution systems sales to major accounts.
"I especially look forward to one of my responsibilities with American Access, continuing both companies' efforts to expand distribution of American Access zone cabling cabinets, fully-functional as plug and play," Boyd said.
Boyd said he is enthused that zone cabling for high speed telecommunications systems is becoming more widely accepted since receiving an industry approval stamp known as TSB-75, which adopted standards for zone cabling in 1996. Boyd was a proponent of those standards in the early 1990s, when zone cabling was just beginning to evolve compared to the more traditional method of home run cabling.
"I've come full circle from my involvement in the introduction of Amp's (NYSE: TYC) `Pypline' in the early 1990s, to TSB-75 approval, to my position with American Access, which will allow me to put my belief in zone cabling to work and make us a leader in the telecommunications market," Boyd said. "Rather than creating new technological solutions for the business environment as the need for higher speed networks grow, we have the solution. Now we can do it."
Boyd, a Pop Warner Football coach, is married, with four children. Before joining GE Supply, he served as National Accounts manager for Tyco's ADT, and as Systems Sales executive for Amp, also a division of Tyco. He was also vice president of National Sales and Marketing for Cable Distribution Systems, Inc., formerly Holscher-Wernig, Inc., where he served as Government Accounts manager.
"Will's commitment to zone cabling and his vast sales experience make him a valuable asset to our team," said American Access President John Presley.

"We are pleased that the numbers show that American Access is executing its planned transition from commodity-type metal products to high-value-added proprietary lines. "What's more," Presley added, "in the June quarter we expensed heavy in-house development costs of our B2B e-commerce portal www.Zonecabling.com which launched on July 14." The website is a virtual warehouse for products used in voice, data and video telecommunications infrastructure.
For the six months ended June 30, 2000, the company reported net sales of $2,897,424, compared with net sales of $2,925,567 in the 1999 period. A net loss of $600,930 or fourteen cents per share for the six months compared with net income of $342,237 or a loss of five cents per share after payment of preferred dividends in the 1999 period.

"We have spent the past three months at the drawing board in response to a clamor in the telecommunications industry, and especially from specific customers. Our mission was to round out our product line to meet the needs these customers have once fiber optic infrastructure is in place. More ways had to be found to bring cable deeper into office buildings to work stations, and we have found ways to do that," said American Access President John Presley.
The Company will unveil three additional ceiling units that measure 2' by 2' and that maintain the same capacity as the current ceiling unit, which measures 2' by 4'. Three additional active floor models are also in pre-production. Some units are slated for private labeling agreements and other designs will be sold through the Company's e-commerce Business to Business website, Zonecabling.com.
"We expect the demand for our network solutions to grow proportionately with the demand for fiber optics," Presley said.

Vulcan would have been a 19 percent owner in the joint venture, and would have been paid 1 million shares of American Access common stock upon its delivery of the web portal. AMERICAN ACCESS TECHNOLOGIES PHASES OUT GENCO TO MAKE ROOM FOR GROWING ORDERS, NEW PRODUCTS, PRIVATE LABEL DEALS
Lake Mary, FL - June 12, 2000
With new products about to debut, and negotiations continuing for several private label contracts, American Access Technologies (Nasdaq:AATK) announced today that it will no longer quote jobs for its Genco generator-cover product line.
"We need our factory floor to produce our proprietary products. We are adding five new designs, and actively negotiating several private label agreements that will be disclosed as we sign the contracts. Factor in the output that will be demanded through our B2B, beginning in July, and we believe that every square foot of our expanded plant, and every valued employee in it, will be needed to fulfill our manufacturing obligations," said President John Presley.
Genco Inc. was purchased in August 1999 to create billing, fill the newly expanded plant and train factory workers, said Presley. About $800,000 in Genco sales has been billed since August. All outstanding quotes and warranties will be honored, but American Access will not seek new generator-cover manufacturing business.
Presley said that the Company does not anticipate taking a charge to earnings from discontinuing this product line, and the move is to better handle the increasing demands for zone cabling.
"By redirecting 15 employees and 15,000 square feet to expand our zone cabling products, we actually anticipate increased sales and revenues," he said.
American Access' proprietary products are zone cabling units that mount in ceilings, raised floors, and in custom furniture. The Company's concept of "zone cabling" reduces costs for installation and moves, adds, and changes by as much as 70% while providing versatility for voice and data infrastructures.

AMERICAN ACCESS TECHNOLOGIES ACHIEVES DEBT-FREE STATUS; BUILDS TEN TO ONE CURRENT RATIO TO FUEL NATIONAL ROLLOUT
Lake Mary, FL - May 16, 2000
Telecommunications equipment manufacturer American Access Technologies, Inc. (Nasdaq: Small Cap: AATK) continued to reposition itself to exploit its leading edge zone cabling devices which facilitate cost-effective change in the dynamic U.S. workplace.
In a Form 10Q-SB filing for its first fiscal quarter ended March 31, 2000 the company reported net sales rose by 17% to a record $1,510,416 from net sales of $1,290,062 reported for the three months ended March 31, 1999.
After conservatively expensing $200,000 in B2B portal development costs and fulfilling low-margined contracts for generator enclosures inherited from an acquisition made in 1999, the company reported a net loss of $294,726 or seven cents per share after preferred dividends for the quarter compared with net income of $218,911 which became a loss of eleven cents per share after preferred dividends in the 1999 period.
President John Presley noted that American Access Technologies continued to invest in a totally redirected sales effort targeted as such large end-users as automobile manufacturers and airlines where vast office configurations must constantly change to accommodate advances in communications and management models.
"We've learned that it's not enough to build a better mousetrap like zone cabling -- we've got to sell it smart," Presley said."Our new sales team is beginning to roll out to new regions as well as to new industries."
American Access Technologies also reported that its balance sheet strengthened further in the March quarter by eliminating the last of its 10% Convertible Preferred issue which had at one time required the payment of $500,000 in dividends annually. "We are debt-free now and with our sale two weeks ago of $1.9 million in equity our ratio of current assets to current liabilities is ten-to-one. That's the financial muscle we need to move our business plan forward in 2000," he stated.

We're currently looking at the ceiling mount unit to be used for another job with this same auto manufacturer. Will I continue to spec American Access cabinets? Absolutely."
This is the auto company's first order for zone cabling enclosures, said Steve Shultz, Anicom's account representative for the project.
American Access' vice president of sales, Ray Kirk, said the sale represents continued recognition of the company's product as a cost-saving method for telecommunications' projects.
"The beauty of our product is the versatility it allows us. We worked with Anicom on the designs for this project and developed a special floor unit that will save as much as 70% in installation and future maintenance for this computer room," Kirk said.

"We believe that at the current levels, the stock is tremendously undervalued. American Access Technologies, Inc. (Nasdaq:AATK), today announced its $15 million stock purchase agreement with Crescent International Ltd., Geneva, Switzerland. The equity line will be drawn over the next several months to complete expansion projects such as American Access' B2B e-commerce portal, and as an influx of working capital for equipment, acquisitions, and to complete larger metal fabricating jobs.
"We will immediately draw the first $1.9 million for completion of our state-of-the-art telecommunications portal, which will debut this summer. We are making every effort to offer engineers and infrastructure designers the premiere site for one-stop shopping when constructing cost-effective cabling projects," said American Access President John Presley.
The Company remains virtually debt-free after doubling its manufacturing facilities, acquiring the assets of a generator-cover manufacturing company, and adding a powder-coating system to its repertoire in fiscal year 1999. Additional acquisitions and equipment are planned in 2000.
"No other investors have done as much due diligence as the people at Crescent have done to determine whether we are a quality company headed in the right direction. We are pleased that our new investors have confidence in management. We welcome their involvement, and look forward to much growth in the future," Presley said.

AMERICAN ACCESS TECHNOLOGIES ADOPTS NEW MARKETING MODEL; SHARPLY REDUCED OVERHEAD CAN SUPPORT 3-FOLD SALES INCREASE BY 2001; MARCH QUARTER SALES ALREADY RISE 31% YEAR TO YEAR
Lake Mary, FL - April 20, 2000
Telecommunications equipment manufacturer American Access Technologies, Inc. (Nasdaq SmallCap: AATK) today announced a new "top down" marketing model for its patented zone cabling device which enables cost effective moves, adds and changes for high-speed communications networks. The company said its previous marketing strategy had focused on channel distribution but its new policy will expand this focus to include regional managers and project managers running a network of independent rep agencies. Key to the new model will be working with strategic partner Herman Miller to sell at the highest level of the Fortune 500.
"We were missing our sales targets with a great solution," said President John Presley. "While zone cabling sales doubled in 1999, they should have increased much more than that. It's time to make a bold sight correction to bullseye our prospects more efficiently and effectively," he said.
"In fact," Presley added, "under our new business model, Selling, General & Administrative costs could be reduced by up to 80% in 2000. Add in our new capacity -- already up, running and paid for -- and we can support at least three times our current sales level by 2001."
Presley stated that preliminary results for the March quarter showed the new business model was already demonstrating its benefits, with sales ahead some 31% year-to-year to $1.7 million. He noted that most of that increase was in higher-margined zone cabling. "Our Omega Metals is a wonderful bread-and-butter business, but zone cabling is our franchise of the future."
Presley said that the new marketing model would emphasize educating distributors, value-added resellers and end users in the power of the company's patented product to transform high-speed communications. "Our only competition is the old-fashioned way. Just like Campbell promoting soup, American Access is educating the telecom industry about this totally new tool -- and like Campbell, we're really the only game in town.
"For shareholders as well as customers, our goal is to win the same kind of recognition for growth segment leadership as JDS Uniphase in telecom fiber optics or Cisco in internet backbone building," he said.
In a Form 10-KSB filing for the fiscal year ended December 31, 1999, American Access Technologies reported net sales of $5,247,683, up 6% from $4,936,204 in 1998. Zone cabling equipment sales more than doubled in the year to $1,364,842 from $592,086 in 1998. The company reported a net loss of $1,677,583 or fifty-nine cents per share in 1999, compared with a net loss of $492,814 or forty-three cents per share in the previous year.
Presley attributed the lion's share of the increased loss year-to-year to a $1 million increase in Selling, General & Administrative expenses such as trade shows and related old-model marketing expenses. He noted that the company's balance sheet continued to reflect its underlying strength with no debt and a current ratio of better than 5-to-1.

VULCAN MICROSYSTEMS ANNOUNCES EQUITY FINANCING AND PARTICIPATION IN JOINT VENTURE WITH INDUSTRY LEADERS FOR B2B E-COMMERCE VORTALS
Miami, FL - February 4, 2000
Vulcan Microsystems, Inc., a developer of proprietary Internet technologies for e-commerce sites, announced today the evolution of its business model to include joint venture participations with industry leaders to create and manage vertically-integrated business-to-business e-commerce portals for their industries.
"Vulcan is forming joint ventures with strategic partners in a broad spectrum of industries in order to share in the enhanced profitability of the online Value Added Distributor model," said company President & CEO Erik Gray. "This new strategy will bring our unique resources and tools for business-to-business e-commerce and custom industry-related applications to companies already aligned within vertical markets, resulting in new cross-marketing possibilities," he said.
Gray noted that Vulcan was in negotiations for several such joint ventures, having already completed an agreement, announced on February 1, with telecommunications equipment manufacturer American Access Technologies (Nasdaq SmallCap: AATK).
For the venture with American Access, Vulcan will develop and manage a "vertical portal" or "Vortal" -- a vertically integrated, Java-enabled, business-to-business e-commerce website -- that will allow the joint venture to serve as an online Value Added Distributor providing technology solutions and engineering support to the fast-growing voice/data structured cabling industry. Structured cabling is a part of the $135 billion telecommunications industry in which Vulcan intends its joint venture with American Access to quickly attain a percentage of market share.
Vulcan will create Vortals for American Access and others using technologies such as IBM's DB2 Universal relational database and e-commerce solutions, Sun Microsystems' hosting servers and Java programming language and Cable & Wireless' Internet Bandwidth. The launch of the AATK/Vulcan joint venture Vortal is scheduled within 90 days, to be followed by proprietary Vulcan application services enhancements throughout the year.
Vulcan's Vortal concept to cross-market complementary products online is already receiving support from Vulcan partners such as IBM's web commerce initiative team.
Gray noted that Vulcan will focus on companies looking for partners rather than vendors in web-centric technologies. The company will also engage existing B2B companies looking to expand their reach through partnerships and alliances with complementary web and e-commerce companies.

Telecommunications equipment manufacturer American Access Technologies, Inc. (NASDAQ SmallCap: AATK) today revealed key details of its landmark deal to transform itself largely into a business-to-business e-commerce company serving the voice/data communications industry.
American Access said it will issue 135,000 common shares with a current market value in excess of $1 million to privately held Vulcan Microsystems, Inc. of Miami, FL for a 76% stake in AATK.com, LLC, a joint venture between the two companies. The preliminary agreement was announced without details or figures on January 27.
American Access President John Presley said that in addition to its million-dollar equity investment, the company will also issue to Vulcan a warrant to purchase one million American Access common shares at an exercise price of $25 per share, or approximately three times its current market price. Also, Vulcan Microsystems President and CEO Erik Gray and Vice President and Chief Technology Officer Bill Wetmore will each receive 100,000 stock purchase warrants exercisable at $10 per share as consultants for development of the joint venture.
What's more, American Access will furnish working capital of at least $400,000 to the joint venture to develop its business model, under which businesses engaged in voice and data communications would look to the joint venture's website as the one-stop shop for equipment and services.
"Vulcan is prepared to accept a warrant exercise price of $25 per share, or 200 percent greater than this morning's quote, because we strongly believe that our joint venture will totally transform American Access and make its shares extremely valuable," said Gray.
"American Access is seeking to become an e-commerce leader in its industry through this joint venture," said Presley. "American Access has strong market fundamentals, a great client base and industry alliances as the developer of a cornerstone cabling technology," he said.
Under the terms of the joint venture, Vulcan will develop and manage a "vertical portal" or "Vortal" -- a vertically integrated, Java-enabled, e-commerce website -- that will allow the joint venture to serve as an online Value Added Distributor (VAD) providing technology solutions and engineering support to the fast-growing voice/data communications industry.
The joint venture's Vortal concept to cross-market complementary products online is expected to gain tremendous support from industry leaders in manufacturing, installation and support for infrastructure solutions such as zone cabling, an American Access specialty.
Vulcan will create the Vortal using technologies such as IBM's DB2 relational databases and e-commerce solutions and Sun Microsystems' hosting servers and Java programming language. The Vortal is scheduled to launch in 90 days, to be followed by continuous enhancements throughout its operation. Twenty domain name requests have already been submitted; the name chosen will be announced later this month.

AMERICAN ACCESS TECHNOLOGIES COMPLETES CONVERSION OF $5 MILLION PDF ISSUE; STRENGTHENS COMMON SHARES TECHNICALLY BY REMOVING THREAT OF EXCESS DILUTION
Lake Mary, FL - January 31, 2000
Telecommunications equipment manufacturer American Access Technologies, Inc. (NASDAQ SmallCap: AATK) today reported completing conversion of all the outstanding shares of its $5 million Series A 10% Senior Convertible Preferred issue and thereby strengthening the technical position of its common shares. The company said that all the underlying common shares have already been sold into the market.
"It's not too dramatic to say that finally converting the last of our preferred shares has removed a Damocles sword that has been hanging over American Access since 1998," said CFO Bobby Story. He noted that the $5 million convertible preferred issue had enabled the company to bring to market its leading edge Zone Cabling technology, acquire key building block Omega Metals and qualify for Nasdaq SmallCap listing.
"We certainly put the funds to good use, but never foresaw that preferred shareholders, possibly acting in concert with professional short sellers, would create a downward spiral in the common shares to give themselves more shares at artificially low prices. We are delighted that the last of the preferred shareholders has converted. Our common shares now have an unimpeded opportunity to better reflect the growth immediately ahead for American Access," Story said.
