American Access Technologies expands capacity with new equipment

American Access Technologies, Inc. (NASDAQ Small Cap: AATK) announced today that it is expanding its manufacturing capabilities. The Company, through its Omega Metals subsidiary, will acquire capital production equipment that will cost approximately $500,000 and will increase current manufacturing capacity approximately 20 percent.

American Access Technologies Preliminary Fourth Quarter Sales Increase 44%

(NASDAQ: AATK) announced today that based on preliminary review of its fourth quarter results, it expects fourth quarter sales to exceed its third quarter sales by 44%. American Access indicated that sales for the fourth quarter are expected to exceed $1.12 million as compared to $777,000 in the prior quarter.
"What we saw during the fourth quarter gives us continued confidence that our road to profitability is right on course, even during a weak economy and in light of the events of September 11," said American Access President John Presley. "The expenditures for research and development of our patented proprietary products, the expansion of our state-of-the-art manufacturing facility, redirected sales efforts and lower overhead are all paying dividends."
Chief Financial Officer Joe McGuire said the Company is financially well-positioned moving into the new year and tight control of all operating expenses is a top priority of every employee. "Our mission to avoid an onerous debt or preferred stock deal in 2001 was an interim goal that was a success. The neutral cash flow in the third quarter and positive cash flow in the fourth quarter left the Company with more than $2 million in cash at year-end and no long term debt. American Access Technologies Acquires Rights to UV Light Home Air Cleansing System

Telecommunications equipment manufacturer American Access Technologies, Inc. (NASDAQ: AATK) said today that it is expanding the Company's product portfolio to include an ultraviolet light Air Cleansing System for the home acquired for $50,000 cash, $500,000 in restricted stock, and cancellation of a $123,000 account receivable by the Company.
The Eclipse system uses ultraviolet light technology installed in a home's air-conditioning system to disinfect germs and bacteria and neutralize mold and dust mites that contaminate the indoor air a family breathes.
"We are all concerned about our families' well-being, and we all seek the optimum healthy home environment. This air cleansing system harnesses for your home the benefits of ultraviolet light, which has been used for years to sterilize germs and kill bacteria in hospitals and restaurants," said American Access President John Presley.
"We have manufactured about 35,000 units for Bill Sherer Corporation over the past three years. Taking over this product line should result in increased profits and revenue for American Access," Mr. Presley added. The current price for the product to installers is $119 per unit.
Mr. Sherer will continue to market the products for American Access under a separate one-year, renewable agreement.

American Access Technologies Posts President's Message to Shareholders

American Access Technologies, Inc. (NASDAQ Small Cap: AATK) today released President John E. Presley's following letter to shareholders:
Success for American Access Technologies, Inc. has been a conundrum in 2001. We are a good, solid, debt-free company with adequate working capital and a patented product but, until now, that product has had limited acceptance in the marketplace.
I promise you, we have studied this puzzle, and we are working toward solving it.
Over the past two years, we had to learn how to sell our unique products when they were not widely accepted by the telecommunications industry. From the beginning, we believed that our zone cabling cabinets would find their niche and prove to be a viable alternative to traditional home run cabling methods. Meanwhile, we planned that American Access' solvency would come through our Omega sheet metal fabricating jobs. Indeed, the plant has run double shifts in recent months, and we have gained recognition for our participation in the production of chemical warfare detectors. Along the way, we began looking for a merger candidate that, combined with our strengths, would add to shareholder value.
Despite our best efforts, we made a couple of mistakes.
Our online marketing attempts have been suspended pending evaluation. The method of sales online would have penalized our longstanding distributors, and we did not want to do that. We lost money on this approach, and we apologize.
We made a good faith effort to merge with DataWorld Solutions, Inc., so we could increase our sales and expand our realm in both products offered and in our revenue stream. We had no choice but to terminate that merger after a DataWorld news release confirmed that the merger would not be in the best interest of our stockholders.
Many of you have asked why we didn't seek acquisition by a much larger company. When our management began strategizing about our future growth, we talked to many companies, large and small. And we learned that American Access at $5 million in revenues is much too small a fry to be considered for acquisition by a very large corporation. How can we become a viable candidate? By growing steadily and surely and by continuing to look for a strategic partner or a good merger candidate.
Meanwhile, the economy has been in a severe slump, and most analysts predict that it won't begin to recover until sometime next year. Our sales in 2001 have certainly suffered for it since many of our metal customers have gone out of business, and many zone cabling projects have been postponed. But we have survived what we believe to be the worst of it, and we are not giving up. As the patriarch of our management team, with 40 years experience in business, I personally have been through five or six recessions, and you should know that I will not give up. We have taken appropriate cost-cutting measures, we have money in the bank, and we intend to survive.
In October, our investment bankers, a former officer/director, a director, and some employees exercised stock purchase warrants, from which the Company gained almost $2.9 million. We have already earmarked some of this working capital for expansion of our sales and marketing efforts and our in-house engineering capabilities. Not only are we focused on selling our product, but a renewed effort is being made to market our Company to potential investors.

Richard McGrail, current president, chief operating officer and a director of AVTEK, Inc., a private multi-industry manufacturing company, served as president of America Cable Systems and AFC UniFab, divisions of Tyco, from 1996 to 2001. McGrail is also president and chief operating officer and director of Lynch Corp., a public company.

Customer-Oriented Engineer to Manage American Access Technologies' Plant

Bill Wiisanen, 34, joins the staff as manager of the American Access plant, one of the Company's two manufacturing facilities. Wiisanen holds a bachelor's degree in mechanical engineering from the University of Florida. He earned Black Belt level in Six Sigma as an engineer for Allied Signal/Honeywell. The Six Sigma program utilizes statistical analysis and data to deliver very high levels of customer satisfaction, a key component of business success. Warrant Exercise Fuels American Access Technologies With Almost $2.9 Million in Working Capital

American Access Technologies, Inc. (Nasdaq Small Cap: AATK) today announced that the exercise of stock purchase warrants by investment bankers, consultants and employees in addition to the repayment of a note by a former insider this past week brought almost $2.9 million to the Company coffers.
Investment bankers' underlying shares were the subject of a registration statement filed with the Securities and Exchange Commission in March, and which became effective October 10, 2001. Employees, officers and directors were also granted stock purchase warrants in December 2000, the underlying shares of which were registered in April 2001. Although the two groups exercised 1,277,522 warrants at prices ranging from $1.65 to $2.25, netting the Company approximately $2,605,000, no officers or directors of the Company sold any stock during the recent price spike.
A former officer/director who exercised warrants applied a portion of the proceeds from the sale of stock to repayment of two promissory notes to the Company for a total of $200,000 principal and $26,866.80 interest.
"By paying off an equipment lease, we have no long-term debt, leaving us in an advantageous debt-free position with money in the bank for our future growth plans," said American Access President John Presley.
Mr. Presley said the funds will be used to expand the engineering and sales staff, for development of new products, and for marketing campaigns including those in conjunction with private label partners.
The Company has already hired one account executive, an 11-year sales veteran who has spent the past six years in telecommunications. Vickie Carter has worked as a consultant representing Mohawk and Leviton cable and fiber products, and was account representative for a telecommunications contractor, through which she was responsible for the design, installation and service of copper and fiber optic cable systems for clients that included colleges, universities, local government and national accounts.

Additionally, a former officer/director who exercised warrants applied a portion of the proceeds from the sale of stock to repayment of two promissory notes to the Company for a total of $200,000 principal and $26,866.80 interest.

American Access Technologies Notes Growing Number of Government Sub-Contracts

The $185,500 government sub-contract pursuant to the manufacture of specialized alarms that detect chemical warfare for the U.S. government, announced October 8, 2001, is one of many government sub-contracts American Access Technologies, Inc. (NASDAQ Small Cap: AATK) has fulfilled over the years, the Company announced today.
Mathews Associates, Inc., serves as contractor for the 7,000 chemical warfare devices ordered by the government. American Access will manufacture the housing for the device, which is about twice the size of a military issue canteen. In 2000, the Company participated in the production of 6,000 alarms under a similar contract.
"We are one of fewer and fewer American manufacturers, and we believe this could be the reason that we have experienced steady growth in the work sub-contracted to us for all kinds of government projects," said President John Presley.
Presley noted that the Company recently fulfilled a rush order for the Pentagon, through Holocom Systems, Inc., when it manufactured a key component for 1,000 units used in a secured-access telecommunications network system.
"We are honored to do our part supplying the government with its needs. We believe that the public is beginning to acknowledge the value of our stock, in light of our manufacturing abilities coupled with increasing enthusiasm for our proprietary zone cabling cabinets."
Herb Hugo, of Mathews Associates, said in an interview last year that the specialized alarms are used by the U.S. Army to detect intrusion of chemical agents under battlefield conditions, and they have been and are being used around the world.

American Access Technologies, Inc. (NASDAQ Small Cap: AATK) has received a second order to manufacture specialized alarms that detect chemical warfare for the U.S. government, the Company announced today.
Mathews Associates, Inc., the contractor for the government job, awarded the sub-contract for 7,000 units to Omega Metals, a wholly-owned subsidiary of American Access. In 2000, the Company produced 6,000 alarms for the government.
Herb Hugo, of Mathews Associates, said the alarms are used by the U.S. Army to detect intrusion of chemical agents. "The U.S. Army disperses them throughout battlefield conditions, and they have been and are being used in any number of skirmishes around the world," Hugo said in an interview last year.

Tom Swihart, RCDD, consultant to end users, officer furniture manufacturers and dealers, is also an electrical engineer. Swihart said his awareness of the potential savings and flexibility with zone cabling in high tech, high churn business environments dates back to mid-1994. "At that time, we could see the opportunity, but the right products to support the implementations did not exist. A prominent IT consultant who foresaw the future when he earned a Computer Technology master's degree in 1975 has joined the American Access Technologies, Inc. (NASDAQ Small Cap: AATK) newly-created advisory board, the Company announced today.
Bard White, with more than 14 years experience in the international arena, is the president of the Whitecrest Group, Inc., IT management consultants. He is also a director for a worldwide IT consulting firm based in Springfield, Massachusetts. Since 1980, White has consulted for colleges and universities, as well as corporations, on topics such as management of computer resources, use of the Internet, sales force automation, new product introductions, and paperless technologies.
Recognizing in the 1970s that telecommunications would be an evolving industry as people sought better ways to disseminate information, White focused his life1s work on that evolution.

American Access Technologies Responds to Holocom's Call: Pentagon Places Emergency Order for Communications Enclosures

Responding to an emergency delivery request by the Pentagon to Holocom Networks, Inc., American Access Technologies, Inc. (Nasdaq Small Cap: AATK) today announced that it has manufactured and shipped a key component for Holocom's Secured Desktop Gateway communications enclosures to be installed as part of the Pentagon's heightened security effort.
The Pentagon contacted Holocom on Sunday, September 16th, with an emergency need for 1,000 of its proprietary communications enclosures to be installed at workstations connected to the country's high security networks, Holocom President G. Bradford Saunders said.
"American Access was incredibly responsive to our request to manufacture and ship this product within days. We depended on them for quality and timeliness, and they delivered," observed Saunders.
The emergency renovation program is being conducted in conjunction with the National Intelligence Security Agency, in an effort to safeguard the country and its government. Saunders said he expects Holocom products to factor into the ongoing Pentagon project that became more urgent by the September 11th tragedy.

The arm of the Quebec government-sanctioned organization charged with regulating the construction industry has included American Access Technologies, Inc. (NASDAQ Small Cap: AATK) zone cabling cabinets in its training program, the Company announced today.
"Since our training focuses on market trends and the latest technology, we believe American Access' products should be part of our curriculum. I just really like the product. I haven't seen anything else that competes," said Denis Leduc, special advisor to the Fraternite Inter-Provinciale des Ouvriers en Electricite, (FIPOE) a brotherhood of inter-province electrical workers.
FIPOE, along with employers and the Quebec government, comprise the Construction Commission of Quebec. The CCQ, which trains construction workers, generates competency cards and administers benefits to workers, has identified a new trade, Network Cabling Specialist, and CCQ will conduct the training of these professionals incorporating American Access zone cabling cabinets, Leduc said.
Leduc, who wrote the course specs and designed the special training lab, said FIPOE has also partnered with Building Industry Consulting Services International, (BICSI), the definitive authority that implements and teaches structured cabling standards and specifications throughout the world. BICSI is supplying the reference material that will be translated into French for the CCQ course. BICSI will also use the translated material to access French-speaking countries for its own programs.

Judge Dismisses Shareholder Lawsuit Against American Access Technologies, Denies Motion to Reopen Case
Company Posts Second Quarter Earnings Report

A federal judge dismissed a shareholders' lawsuit against American Access Technologies, Inc., which was filed after a decline in the market price of the Company's stock in 1999, and denied the plaintiffs' motion to reopen the case, the Company announced today.
"Our position all along had been to vigorously defend ourselves against the accusations because they were factually untrue, so we are very gratified by the judge's ruling to dismiss this case, and to deny the motion to reopen it, saving us all the time and money to fight a protracted legal battle," said American Access President John Presley.
United States District Judge Patricia Fawsett dismissed the case June 4, 2001 for failure to comply with Orders of the Court to show cause. Plaintiffs failed to file certain documents required by the court, and then failed to respond to the court's order to show cause why the action should not be dismissed after the initial documents were not filed. Plaintiffs had until June 21, 2001 to file a motion for the judge to reconsider or grant relief from her ruling and until July 5, 2001 to appeal the order. The plaintiffs on July 3 filed a motion to reopen the case, but on August 2, 2001 Judge Fawsett denied the motion, writing in her opinion that the "Plaintiffs have failed to show that they are entitled to relief from judgment under Rule 60(b); therefore, their motion is denied, and this case will remain closed."
Under Rule 60(b) of the Federal Rules of Civil Procedure, a party may be relieved from a final judgment, order, or proceeding if the moving party can show mistake, inadvertence, surprise, or excusable neglect, or any other reason justifying relief from the operation of the judgment.
Originally filed in September 1999 in the Eastern District of New York, the case was amended in 2000, and never attained the class status plaintiffs sought.
American Access subsequently filed a motion to dismiss for improper venue or alternately to transfer the venue to the federal court's Middle District in Orlando, FL. The New York judge granted the transfer earlier this year, which necessitated that both parties file certain documents to continue the proceedings. Plaintiffs' failure to file resulted in the dismissal and subsequent denial of their motion to reopen the case.
In other business, American Access released its third quarter earnings today, posting revenues of $1,025,885 for the quarter, compared to $1,387,008 for the three months ended June 30, 2000, a decrease of 26 percent. Revenues for the six months ended June 30, 2001 were $2,174,124 compared to $2,897,424 for the six months ended June 30, 2000, a decrease of 24.9 percent.
"Some industry observers have predicted that the economic downturn we have experienced will last until into early 2002. In light of that, we believe our drop in revenues can be considered favorable considering the losses recently reported by many other companies in the telecommunications sector," Presley said.
The Company also reported a $429,159 loss from operations for the quarter, compared to $351,207 for the quarter ended June 30, 2000, and a $675,315 loss from operations for the six months ended June 30, 2001, compared to a $466,252 loss for the six months ended June 30, 2000.
The Company continued to cut expenses to offset the decline in revenue. Selling, general and administrative expenses decreased by $344,026 to $729,521 for the three months ended June 30, 2001, compared to $1,073, 547 for the three months ended June 30, 2000. The Company's selling, general and administrative expenses for the six months ended June 30, 2001 were $1,539,171 compared to $1,942,854 for the six months ended June 30, 2000.
"We will continue to keep a tight rein on our costs as we weather the economic storm that has hit the telecommunications and manufacturing sectors," Presley said.

"Due to material adverse changes in DataWorld's business and operations since signing the agreement, which were documented in DataWorld1s press release dated June 28, 2001, we believe it is in the best interest of our shareholders to terminate the agreement at this time. We left the door open to revisit a possible business combination in the future, but today we made the decision to go forward on our own," said American Access President John Presley said.

American Access Technologies Pares Selling Costs, Reduces Net Loss

Growing Acceptance of Zone Cabling Noted
American Access Technologies, Inc., (NASDAQ Small Cap: AATK), today announced it has pared its net loss by $53,842 in the first quarter of 2001, as compared to the first quarter of 2000. The Company's net loss at March 31, 2001 was $240,884, compared to a $294,726 net loss at March 31, 2000.
"The curtain fell on our production and sales late in the fourth quarter, just as it fell on the economy," said American Access President John Presley. "We cut costs and expenses to conserve our cash for a rainy day, and by maintaining an austerity program, we are weathering the storm till the sun comes out."
The Company's combined sales for formed metal and zone cabling cabinets was $1,148,239 for the quarter ended March 31, 2001, compared to $1,510,416 for the same quarter in 2000. The decrease in revenue is attributed to a lackluster economy and to the Company1s decision in mid 2000 to phase out manufacturing its Genco generator covers.
The basic net loss per common share was (0.05) for the quarter ending March 31, 2001, compared to (0.07) for the quarter ending March 31, 2000.
Presley said that the Company will continue its campaign to scrutinize all spending and makes cuts when necessary, while focusing on increasing sales. He tied increasing sales to increasing acceptance of zone or open-office cabling. Citing the May issue of Cabling Installation & Maintenance, Presley explained that the top trade magazine devoted its cover story and others to cabling strategies, including a comprehensive article featuring American Access Vice President Wil Boyd's comments. Tyco's ACS inks private label deal with American Access Technologies

America Cable Systems, Inc., a division of Tyco International, Ltd (NYSE:TYC) and a forerunner in bringing zone cabling to the telecommunications marketplace, has signed a private label agreement with American Access Technologies, Inc., (NASDAQ Small Cap: AATK) in which America Cable will incorporate into its distribution network patented zone cabling cabinets manufactured by American Access.

Anixter Adds American Access Technologies' Zone Cabling Products To Federal Sales Program
LAKE MARY, FL - March 23, 2001
One of the nation's top telecommunications network distributors serving the U.S. government will include American Access Technologies, Inc. (NASDAQ Small Cap: AATK) zone cabling products in its GSA contracts, it was announced today.
Anixter International Inc., (NYSE: AXE) sells total solutions for voice, data and video infrastructures. Its sales program targeting the federal government is considered elite by those manufacturers that participate, since Anixter includes on its GSA-schedule contract only about a quarter of the suppliers for which it distributes products.

American Access Technologies, Inc. Expands Capabilities with New Equipment

American Access Technologies, Inc. (NASDAQ Small Cap: AATK) announced today that it has expanded manufacturing capabilities through its Omega Metals division with the acquisition of $500,000 in computer-controlled capital production equipment.
"We believe the best way to fight the downturn in the economy of late is to keep our factory full... in the fourth quarter of 2000 we took delivery on two machines that can help us do just that," said American Access Technologies' President John Presley.
The Omega Division acquired a $100,000 Mazak Vertical Milling Machine, which is computer-controlled and has a capacity of 48" in the X direction and 24" in the Y direction, and a $400,000 Strippit Machine, which is a precision computer controlled punching machine used to produce components, electronic chassis and metal cabinets. This Strippit has a capacity of 60" in the Y direction and 120" in the X direction. These new machines represent a significant increase in the factory ability. One person concurrently operates both machines, also a savings in labor costs.
"The double benefit to these machines is being able to keep jobs requiring this equipment in-house, and being able to bid on jobs we couldn't do before we had the equipment. Right now, both machines are fully booked and in production," Presley said.

Expenditures to be Slashed With an Eye On Profit in 2001
Energized by record December sales of its proprietary zone cabling cabinets, American Access Technologies, Inc., (Nasdaq:ATK - news), today reaffirmed its strategy to concentrate on profits while paring expenditures in 2001.
"Our loyal shareholders have weathered some stormy seas, including a volatile stock market and our posted losses in 2000. I am determined to make that journey worthwhile by building as much value as I can into American Access. I believe our rapidly growing sales for zone cabling units show the tide is turning in those stormy seas," said American Access President John Presley.
In December 2000, unaudited net sales for the company's zone cabling cabinets totaled $228,000, compared to $106,000 in October and $141,000 in November. The December sales are record for monthly sales in fiscal year 2000.
Presley said the Company's continuing philosophy is to scrutinize all spending with an eye to the bottom line while pushing sales beyond recent totals. The company's first move this week was to divert any additional funding of its e-commerce site to support the more profitable channel distribution, through which record sales were logged in December.
"Consistent with my 2001 plans, we are through building for now and we will concentrate on profits. Every expense, relationship, merger, acquisition, capital expense and travel expense will continue to be examined with my cold 40-year expertise on the bottom line. Anything we don't make a profit on will be mercilessly chopped. The e-commerce site may eventually prove profitable, or it may be sold if the opportunity presents itself. Right now, it's still accessible, but we won't be putting any more money into further development," Presley said.
